Affiliate Program Terms and Conditions for Reelio

PLEASE READ THESE AFFILIATE PROGRAM TERMS AND CONDITIONS CAREFULLY.

This is a legal agreement between you (the "Affiliate") and Reelio ("Company", "we", "us") regarding your participation in the Reelio Affiliate Program (the "Program"). By applying to or participating in the Program, you agree to be bound by these Terms and Conditions.

**1. Enrollment in the Program**

To enroll in the Program, you must complete the application process through our affiliate platform partner, PromoteKit. Upon completion of the application, you will generally be automatically accepted into the Program. However, we reserve the right to terminate your participation at any time if we determine, at our sole discretion, that your website or promotional methods are unsuitable for the Program. Unsuitable sites or methods may include those that:
- Promote sexually explicit materials
- Promote violence
- Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
- Promote illegal activities
- Incorporate any materials which infringe or assist others to infringe on any copyright, trademark, or other intellectual property rights or to violate the law
- Are otherwise in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically, or otherwise objectionable to us in our sole discretion.
- Contain software downloads that potentially enable diversions of commission from other affiliates in our program.
- You may not create or design your website or any other website that you operate, explicitly or implied in a manner which resembles our website nor design your website in a manner which leads customers to believe you are Reelio or any affiliated business.

**2. Affiliate Responsibilities**

As a member of the Program, you agree to:
- Use the unique tracking links provided by us through the affiliate platform.
- Be responsible for the development, operation, and maintenance of your site and for all materials that appear on your site.
- Ensure that all materials posted on your site or otherwise used in connection with the Program (i) are not illegal, (ii) do not infringe upon the intellectual property rights of any third party, and (iii) do not contain or link to any material which is harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable.
- Comply with all applicable laws, rules, and regulations, including those related to email marketing (e.g., the CAN-SPAM Act), advertising, and disclosures (e.g., FTC guidelines requiring clear disclosure that you may be compensated for referrals).
- Represent Reelio and our products/services accurately and professionally.
- Not engage in any misleading, deceptive, or unethical marketing practices. This includes, but is not limited to, spamming, cookie stuffing, using misleading claims, or bidding on branded keywords related to Reelio in paid search campaigns without prior written consent.

**3. Commission Structure and Payment**

- You will earn a commission of 30% (thirty percent) of the net subscription revenue received by Reelio from each qualifying customer referral. A qualifying referral is defined as a new customer who signs up for a paid subscription plan using your unique affiliate link or assigned coupon code and makes their first successful payment(s). Commission is typically paid on the initial subscription payment and may apply to recurring payments as specified in the PromoteKit affiliate dashboard.
- Commissions are tracked and calculated through our affiliate platform partner, PromoteKit. The commission rate is subject to change at our discretion, with prior notice provided via email or the PromoteKit platform.
- Payments for earned commissions will be made on a Net-15 basis. This means that commissions earned during a calendar month (e.g., December) will be processed and paid out on or around the 15th day of the following month (e.g., January 15th).
- A minimum payout threshold of $30 (thirty US dollars) applies. If your earned commissions for a payment period are below this threshold, the amount will be carried over to the next payment period until the minimum threshold is met.
- Payments will be made via PayPal to the account you configure within your PromoteKit affiliate dashboard. You are responsible for providing and maintaining accurate PayPal payment information in PromoteKit. Failure to provide accurate information may result in delayed or forfeited payments.
- We reserve the right to reverse or withhold commissions due to refunded transactions, chargebacks, suspected fraudulent activity, or violations of these terms.

**4. Tracking and Referrals**

- Initial customer referrals are tracked by PromoteKit using cookies associated with your unique affiliate link. The standard cookie duration set by PromoteKit is 60 days. This cookie helps identify the referring affiliate if the user signs up within that period.
- When a user signs up for a Reelio account after clicking your affiliate link, the referral ID captured at that time is permanently associated with the user's account in our system.
- Commission attribution for subsequent qualifying purchases (e.g., subscription payments) is based on the referral ID saved to the user's account upon signup, ensuring you receive credit even if the original tracking cookie has expired or the user completes the purchase on a different device or browser.
- While we strive for accurate tracking, we are not responsible for commissions lost due to initial tracking failures before signup caused by the customer's browser settings (e.g., clearing cookies, using incognito mode, ad blockers) or other technical issues beyond our reasonable control that prevent the referral ID from being captured during the signup process.

**5. Prohibited Activities**

Affiliates are strictly prohibited from:
- Using unsolicited email (spam) to promote Reelio.
- Using misleading or false advertising.
- Offering unofficial discounts, coupons, or incentives without prior approval.
- Bidding on Reelio branded keywords (including variations and misspellings) on any pay-per-click advertising systems (e.g., Google Ads, Bing Ads).
- Using their own affiliate link to purchase Reelio subscriptions for personal use or to generate commissions fraudulently.
- Masking or cloaking affiliate links in a way that misrepresents the destination.
- Placing affiliate links on coupon or deal sites without prior authorization.
- Any form of trademark infringement or misrepresentation of our brand.

Violation of these prohibited activities may result in immediate termination from the Program and forfeiture of any outstanding commissions.

**6. Term and Termination**

This agreement will begin upon our acceptance of your Program application and will end when terminated by either party. You or we may terminate this agreement at any time, with or without cause, by giving the other party written notice of termination. Upon termination, you must immediately cease using and remove all affiliate links, logos, and promotional materials related to Reelio. Commissions earned up to the date of termination will be paid according to the regular payment schedule, provided the commissions were earned legitimately and not in violation of these terms. We reserve the right to withhold final payment for a reasonable time to ensure that the correct amount is paid.

**7. Modification**

We may modify any of the terms and conditions in this Agreement at any time at our sole discretion. In such event, you will be notified by email or through the affiliate platform. Modifications may include, but are not limited to, changes in the scope of available commissions, commission schedules, payment procedures, and Program rules. If any modification is unacceptable to you, your only option is to terminate this Agreement. Your continued participation in the Program following the posting of the change notice or new Agreement on our site will indicate your agreement to the changes.

**8. Relationship of Parties**

You and Reelio are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf.

**9. Limitation of Liability**

WE WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES (OR ANY LOSS OF REVENUE, PROFITS, OR DATA) ARISING IN CONNECTION WITH THIS AGREEMENT OR THE PROGRAM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, OUR AGGREGATE LIABILITY ARISING WITH RESPECT TO THIS AGREEMENT AND THE PROGRAM WILL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU UNDER THIS AGREEMENT.

**10. Disclaimers**

We make no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness, merchantability, noninfringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

**11. Governing Law**

These Terms are governed by the laws of the jurisdiction in which Reelio operates, without regard to its conflict of law principles.
